Referral Program Terms

1. Agreement
These Referral Program Terms (the "Program Terms") govern participation in the Honeyb Referral Program (the "Program"). The Program is operated by SIA Honeyb, a company registered in the Republic of Latvia ("Honeyb", "we", "us"). By joining the Program you ("Referrer") agree to these Program Terms in addition to the Honeyb Terms of Service and Privacy Policy. If you do not agree, do not join the Program.
2. Eligibility
To join the Program you must:
- Be at least 18 years old and able to enter a binding contract.
- Have an active Honeyb account in good standing.
- Comply with all applicable laws in your jurisdiction, including those governing affiliate marketing, advertising, anti-spam, consumer protection, and tax.
Honeyb employees, contractors, and their immediate family members are not eligible. Honeyb may refuse, suspend, or revoke participation at its discretion.
3. How the program works
On joining the Program, the Referrer receives a unique referral link. When a person who has not previously had a Honeyb account ("Referred Customer") clicks the link and signs up for a paid Honeyb subscription within the attribution window of 60 days, the Referrer becomes eligible to earn a commission on that Referred Customer's qualifying payments.
Attribution is last-click. Referrals are tracked through cookies and a privacy-friendly user identifier; we do not share Referred Customer email addresses or personal data with Referrers.
Honeyb may use a third-party referral platform to administer the Program. By joining, you accept that your name, email, and payout details may be shared with that platform for the purpose of running the Program.
4. Commissions
The Referrer earns 20% of each qualifying payment made by a Referred Customer for the first 6 months from the date of the Referred Customer's first paid subscription. A "qualifying payment" is a successfully captured, non-refunded subscription payment in EUR or USD.
Commissions are not earned on:
- Self-referrals or referrals to existing Honeyb customers.
- Trial periods, free plans, or any payment that is later refunded, charged back, or disputed.
- Taxes, payment processor fees, or platform fees passed through to the Referred Customer.
- Custom or enterprise contracts unless explicitly designated as eligible by Honeyb in writing.
Honeyb may change commission rates and durations prospectively in accordance with Section 11. Existing earned and pending commissions remain governed by the rates in effect at the time the relevant payment was made.
5. Payouts
- Holding period. Each commission is held for 30 days from the date of the underlying payment to allow for refunds and chargebacks. Commissions tied to refunded or charged-back payments are reversed.
- Minimum payout. Cleared commissions are paid out once your balance reaches $20.
- Schedule. Payouts are processed monthly using the payment method configured in your referral platform account.
- Currency and fees. Payouts are made in USD. Currency conversion, bank, and payment processor fees may be deducted from the payout by the payment provider.
- Inactive accounts. If your Honeyb account is closed or you fail to claim a payout for 12 months, unclaimed balances may be forfeited to the extent permitted by law.
6. Taxes
The Referrer is solely responsible for declaring and paying any income, VAT, or other taxes arising from commissions earned through the Program. Where required by law, the Referrer agrees to provide tax documentation (including a W-9, W-8BEN, or equivalent) to Honeyb or its referral platform before any payout can be released. Honeyb may withhold payouts until valid tax documentation has been provided.
Honeyb does not provide tax advice. Referrers are encouraged to consult a qualified tax advisor.
7. Prohibited promotion
The following activities are prohibited and may result in forfeiture of commissions and termination from the Program:
- Self-referral or referrals through accounts you control directly or indirectly.
- Spam, including unsolicited bulk email, SMS, social media DMs, or comments.
- Bidding on Honeyb-branded keywords (including "Honeyb", "honeyb.ai", and common misspellings) on Google Ads, Bing Ads, or any paid search platform.
- Impersonating Honeyb, including domains, social media handles, email addresses, or pages that may confuse a reasonable user into thinking the Referrer is Honeyb.
- Misleading claims about Honeyb's product, pricing, capabilities, or partnerships.
- Cookie stuffing, click fraud, automated traffic, incentivized clicks, or any technique that artificially inflates referrals.
- Posting referral links on coupon, deal, or cashback sites without prior written approval from Honeyb.
- Promoting Honeyb on websites or platforms that contain illegal, obscene, hateful, or otherwise harmful content.
8. Use of Honeyb brand
Honeyb grants the Referrer a limited, revocable, non-exclusive, non-transferable license to use the Honeyb name, logo, and approved marketing materials solely to promote Honeyb under the Program. The Referrer must not modify the Honeyb logo, use it in a manner that is misleading or disparaging, or imply any partnership, endorsement, or sponsorship beyond participation in the Program. All goodwill from such use accrues to Honeyb.
9. Fraud and clawback
Honeyb may withhold, reverse, or claw back commissions — and remove the Referrer from the Program — if it has reasonable grounds to believe the Referrer has engaged in fraud, breached these Program Terms, or generated referrals that do not represent genuine new customer relationships. Honeyb's determination is final, subject to applicable law.
10. Termination
The Referrer may leave the Program at any time by contacting us. Honeyb may suspend or terminate any Referrer's participation, or end the Program in whole or in part, at any time and for any reason, with or without notice. Upon termination, Honeyb will pay out any cleared commission balance above the minimum payout threshold, less any amounts subject to fraud review, holding period, or clawback.
11. Changes to the program
Honeyb may modify these Program Terms, the commission structure, attribution windows, prohibited methods, or any other aspect of the Program at any time. Material changes will be communicated by email or through your referral dashboard at least 14 days before they take effect, except where shorter notice is required for legal or fraud-prevention reasons. Continued participation in the Program after the effective date constitutes acceptance of the revised terms.
12. Limitation of liability
To the maximum extent permitted by law, SIA Honeyb shall not be liable for any indirect, incidental, special, or consequential damages arising from the Program. Honeyb's aggregate liability for any claim relating to the Program shall not exceed the total commissions paid to the Referrer in the 12 months preceding the claim. The Program is provided "as is" without warranties of any kind. Nothing in these Program Terms creates a partnership, joint venture, employment, or agency relationship between the Referrer and Honeyb.
13. Governing law
These Program Terms are governed by and construed in accordance with the laws of the Republic of Latvia. Any disputes arising out of or relating to the Program shall be resolved in the courts of Latvia.
